Plant Powered Metro New York Terms of Service

1. Acceptance of Terms
By accessing, using, or participating in any services provided by Plant Powered Metro New York (“PPMNY,” “we,” “us,” or “our”), including our website at www.plantpoweredmetrony.org and www.ppmny.org (the “Site”), digital properties, events, programs, and services (collectively, the “Services”), you agree to abide by these Terms of Service (the “Terms”).
If you do not agree to these Terms, you must immediately cease use of the Services. Your continued access or participation constitutes your legally binding acceptance of these Terms.
PPMNY reserves the sole right to modify, suspend, or terminate these Terms or any aspect of the Services at any time, with or without notice.
2. Scope & Eligibility
These Terms apply to all users of the Services, including visitors, registered users, donors, volunteers, and participants.
You affirm that you are at least 18 years of age or have express parental/guardian consent to use the Services. PPMNY is not responsible for verifying age compliance but may take corrective action, including account suspension, if misuse is detected.

- Engaging in automated data scraping, mining, or extracting content without explicit permission.
PPMNY reserves the absolute right to monitor, investigate, and enforce compliance with these Terms, including but not limited to account termination, legal action, and cooperation with law enforcement.
4. Registration & Account Security
Some features of our Services require user registration. You are solely responsible for:
- Providing truthful and accurate registration details.
- Maintaining the confidentiality of your account credentials.
- Notifying PPMNY immediately at privacy@ppmny.org of any suspected unauthorized use of your account.
PPMNY assumes no liability for unauthorized access due to failure to safeguard credentials.
5. Intellectual Property Rights
All content, including but not limited to text, graphics, logos, videos, images, and software, is owned or licensed by PPMNY and protected under U.S. and international copyright, trademark, and intellectual property laws.
Users may not:
- Copy, reproduce, distribute, modify, or create derivative works from PPMNY content without prior written consent.
- Use our branding, name, or trademarks in a way that suggests affiliation or endorsement without written permission.
6. Donations, Payments & Refund Policy
PPMNY may offer paid Services, including donations, event registrations, and merchandise sales. By making a payment, you:
- Represent that you are authorized to use the payment method provided.
- Agree that all transactions are final, except where explicitly stated.
- Understand that refunds are issued at PPMNY’s sole discretion and may be subject to processing fees.
We use PCI DSS-compliant third-party payment processors to handle transactions. PPMNY does not store full payment card details.
7. Third-Party Services & External Links
Our Services may link to or integrate with third-party websites, applications, or services. PPMNY:
- Does not control or endorse third-party content or security practices.
- Is not liable for any harm or losses arising from interactions with third-party platforms.
- Encourages users to review third-party terms and privacy policies before engaging.
8. Limitation of Liability & Disclaimer of Warranties
PPMNY provides the services on an “as-is” and “as-available” basis. We expressly disclaim all warranties, express or implied, including, but not limited to:
- merchantability, fitness for a particular purpose, and non-infringement.
- accuracy, timeliness, or reliability of information.
- continuous availability, security, or error-free operation.
To the maximum extent permitted by law, PPMNY shall not be liable for any:
- direct, indirect, incidental, special, consequential, or punitive damages.
- loss of profits, data, business opportunities, or goodwill.
- damages arising from unauthorized access, server downtime, or third-party service failures.
If you are dissatisfied with the services, your sole remedy is to discontinue use.
9. Indemnification
You agree to defend, indemnify, and hold harmless PPMNY, its officers, employees, and affiliates from any claims, damages, liabilities, and expenses arising from:
- Your use or misuse of the Services.
- Your violation of these Terms.
- Any third-party rights infringement resulting from your actions.
PPMNY reserves the right to assume exclusive defense in any indemnified matter at its own expense.
10. Termination & Enforcement
PPMNY reserves the right to immediately suspend, restrict, or terminate access to the Services for violations of these Terms, without prior notice or liability. Grounds for termination include but are not limited to:
- Repeated or severe breaches of prohibited conduct policies.
- Fraud, abuse, or misuse of Services.
- Legal, security, or compliance concerns.
Terminated users forfeit all associated rights and privileges, and PPMNY may pursue legal remedies where applicable.
11. Modifications to Terms
PPMNY may update or amend these Terms at any time. We will notify users via:

- Email notifications (where applicable).
Continued use of Services after modifications constitutes binding acceptance of the revised Terms.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflicts of law principles.
Any disputes shall be resolved exclusively through arbitration or mediation in New York, except where legal action is required.
